We have experience representing real estate developers from the negotiation and acquisition of real estate to zoning and permitting through construction and leasing. Because of the firm’s strong teamwork ethic and our willingness to put in the hours necessary to ensure that we meet each client’s timetable, we are often asked to take on complex transactions with tight deadlines.

Business and Financial Transactions

In the Real Estate Division of our Business and Banking Group, we regularly address the real estate, zoning and environmental issues involved in many business and financial transactions. It is our job to seamlessly integrate real estate and zoning work with the flow of the transaction, in a cost-effective and timely manner.

Purchase and Sale

From complex transactions involving properties in multiple jurisdictions, to the purchase or sale of a single parcel, we have the knowledge required to effectively and efficiently handle any transaction. Because we have represented both buyers and sellers in connection with the purchase and sale of real estate, our team understands and counsels clients in all aspects of the purchase and sale process. We negotiate and draft transactional documents, manage due diligence, coordinate the closing process, and assist our clients in connection with Section 1031 tax deferred exchanges.

Financing and Workouts

Our attorneys have extensive experience representing both lenders and borrowers in structuring, negotiating, and closing commercial real estate loan transactions. We provide local and regional financial institutions with the full range of services, starting with advice about the structure of the proposed financing at the commitment letter stage, through the preparation of the loan documents and management of the closing. In addition, whenever it becomes necessary, we can assist financial institutions with troubled loans, workouts, loan modifications, foreclosures, and protecting a lender’s collateral position in bankruptcy.

Specialty and Bond Financing

Our team has counseled clients in connection with tax-deferred exchanges, sale/leaseback transactions, SBA-guaranteed loans, bond issues secured by real estate, and tax credit financings.

Commercial Real Estate Development

We represent developers, lenders, buyers, sellers, contractors, and nonprofit development agencies in all aspects of the purchase, sale, permitting, leasing, and general development of commercial and nonprofit real estate projects. Leasing

Our real estate lawyers regularly represent landlords and tenants with leasing matters involving a wide variety of assets classes, including office, retail, industrial, health care, warehousing and mixed use properties. Our representation of landlords, tenants, brokers, asset managers and lenders provides us with a comprehensive understanding of the goals of each party to a leasing transaction.

Permitting, Environmental and Real Estate Tax Matters

We regularly appear before local boards, commissions, including planning boards and zoning boards of appeal and conservation commissions, and state agencies, including the Massachusetts Department of Environmental Protection, in connection with zoning, permitting and regulatory matters, including wetlands protection and other environmental requirements. We also represent clients in applications for tax exemption and abatement.
